End User License Agreement

NO EMERGENCY MEDICAL SERVICES ARE OFFERED THROUGH THE WIT APPLICATION.

Effective Date: May 1st, 2026

This End User License Agreement (“EULA”) applies to your use of the App and all related Services made available by Wit Health, Inc., a Delaware corporation (“Wit,” “we,” “us,” or “our”) 

1. Acceptance of Terms

By downloading or using the Wit App, you agree to this EULA. 

If you do not agree, do not use the App.

2. License Grant

Wit grants you a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes.

3. Description of Services

The App provides:

• AI-based conversational support
• Cognitive and memory tools
• Wellness tracking, education and reminders

4. Important Medical Disclaimer

The App is not medical advice.

• It does not diagnose, treat, or prevent disease
• It is not a substitute for professional care
• Always consult a qualified healthcare provider

This is especially important given the App’s focus on cognition and brain health.

5. AI Limitations

You acknowledge that:

• AI responses may be inaccurate or incomplete
• The system may misunderstand inputs
• Outputs are for informational and supportive purposes only

6. User Responsibilities

You agree not to:

• Use the App for unlawful purposes
• Input harmful or abusive content
• Rely on the App in emergencies

7. Privacy

Your use of the App is also governed by the Privacy Policy.

8. Intellectual Property

All rights in the App are owned by Wit Health, Inc.

You may not:

• Copy, modify, or distribute the App and its content
• Reverse engineer the software

9. Termination

We may suspend or terminate your access if you violate this agreement.

You may stop using the App at any time.

10. Disclaimers

The App is provided “AS IS” without warranties of any kind.

We disclaim:

• Accuracy of outputs
• Continuous availability
• Fitness for a particular purpose

11. Limitation of Liability

To the maximum extent permitted by law, Wit Health, Inc. is not liable for:

• Health outcomes
• Decisions made based on the App
• Indirect or consequential damages

12. Indemnification

You agree to indemnify Wit for claims arising from misuse of the App.

13. Governing Law

This Agreement is governed by the laws of the State of Delaware.

14. Changes to Terms

We may update this EULA. Continued use constitutes acceptance.
